These Terms of Service ("Terms") constitute a legally binding agreement between you and CipherPilotium B.V. ("CipherPilotium", "we", "us", or "our") regarding your use of our wellness centre services, facilities, website, and related offerings located at Schoolstraat 30, 4891 ET Breda, North Brabant, Netherlands.

By accessing our facilities, using our services, creating an account, or engaging with our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services or access our facilities.

These Terms apply to all users of our services, including members, visitors, guests, and website users. CipherPilotium reserves the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on our website.

2. Description of Services

CipherPilotium operates a comprehensive wellness centre offering fitness facilities, personal training services, group classes, wellness programmes, and related health and fitness services. Our services include but are not limited to:

• Access to fitness equipment and exercise facilities
• Personal training and coaching services
• Group fitness classes and programmes
• Wellness and nutrition guidance
• Health assessments and fitness consultations
• Online resources and digital content

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. Service availability may vary based on membership level, facility capacity, and operational requirements.

3. Membership and Registration

To access certain services and facilities, you must register for membership with CipherPilotium. Registration requires providing accurate, current, and complete information about yourself as prompted by our registration forms.

3.1 Eligibility

• You must be at least 18 years of age to enter into a membership agreement
• Minors aged 16-17 may use our services with written parental consent and supervision requirements
• All members must complete a health screening and waiver process
• We reserve the right to refuse membership at our discretion

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account or any other breach of security.

4. User Obligations and Conduct

As a user of CipherPilotium services, you agree to comply with all applicable laws, regulations, and these Terms. You are expected to conduct yourself in a manner that is respectful, safe, and considerate of other members and staff.

4.1 Facility Rules

• Follow all posted safety guidelines and equipment usage instructions
• Maintain appropriate hygiene and wear suitable athletic attire
• Respect other members' right to use facilities and equipment
• Return equipment to designated areas after use
• Refrain from behaviour that is disruptive, threatening, or inappropriate

4.2 Prohibited Activities

You agree not to:

• Use our services for any unlawful purpose or in violation of these Terms
• Engage in commercial activities or solicitation without written permission
• Harass, intimidate, or discriminate against other users or staff
• Damage, misuse, or tamper with equipment or facilities
• Bring prohibited items including weapons, illegal substances, or outside food and beverages
• Use recording devices in changing areas or other private spaces

5. Payment Terms and Membership Fees

Membership fees and service charges are due in advance according to your selected payment schedule. All fees are non-refundable except as specifically provided in these Terms or required by applicable law.

5.1 Fee Structure

• Membership fees vary based on membership type and duration
• Additional charges may apply for personal training, specialised classes, and premium services
• All prices are inclusive of applicable VAT
• We reserve the right to modify fees with 30 days' written notice

5.2 Payment Methods

We accept various payment methods including bank transfers, credit cards, and direct debit. Recurring memberships will be automatically charged according to your billing cycle unless cancelled in accordance with our cancellation policy.

6. Intellectual Property

All content, materials, and intellectual property associated with CipherPilotium services, including but not limited to text, graphics, logos, images, software, and training programmes, are the exclusive property of CipherPilotium or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use our services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use our intellectual property without our express written permission.

Any feedback, suggestions, or ideas you provide to CipherPilotium may be used by us without restriction or compensation to you. You retain ownership of any personal content you provide, but grant us a licence to use such content for service provision and improvement purposes.

7. Health and Safety

Your health and safety are paramount to us. However, participation in fitness activities involves inherent risks, and you acknowledge that you participate in all activities at your own risk.

7.1 Health Disclosures

• You must disclose any health conditions, injuries, or limitations that may affect your ability to exercise safely
• You should consult with a healthcare provider before beginning any new exercise programme
• You must immediately inform staff of any injuries or medical emergencies
• We reserve the right to restrict your access to certain activities based on safety considerations

7.2 Assumption of Risk

By using our facilities and services, you acknowledge and assume all risks associated with physical exercise and fitness activities, including but not limited to muscle strains, injuries, and in rare cases, more serious medical conditions.

8. Limitation of Liability

To the fullest extent permitted by applicable law, CipherPilotium, its directors, employees, agents, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services, facilities, or website.

Our total liability to you for any claims arising out of or relating to these Terms or your use of our services shall not exceed the amount you paid to CipherPilotium in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless CipherPilotium, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• Your use of our services or facilities
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Any injury or damage caused by your actions or negligence
• Any content or information you provide to us

10. Cancellation and Termination

Either party may terminate your membership or access to services in accordance with the terms specified in your membership agreement and applicable consumer protection laws.

10.1 Member-Initiated Cancellation

• You may cancel your membership with 30 days' written notice
• Cancellation requests must be submitted in writing or through our designated cancellation process
• You remain responsible for all fees incurred up to the effective cancellation date
• Certain membership types may have specific cancellation terms and conditions

10.2 Termination by CipherPilotium

We reserve the right to terminate your membership immediately for violation of these Terms, non-payment of fees, disruptive behaviour, or any conduct that we deem harmful to other members or our business operations.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or your use of our services shall be subject to the exclusive jurisdiction of the competent courts in Breda, Netherlands.

If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable consumer protection laws.

12. Dispute Resolution

If we cannot resolve the dispute through direct communication, we may agree to participate in mediation or other alternative dispute resolution procedures before pursuing litigation.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any specific membership agreement you enter into with CipherPilotium, constitute the entire agreement between you and CipherPilotium regarding your use of our services and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.
